By registering or using this platform you agree to these terms in full. Please read carefully.
1.1 Agreement. By creating an account or registering a Homeowners Association ("HOA") on Direct Directories LLC ("Platform", "we", "us"), you ("Customer", "HOA Admin", "User") agree to be legally bound by these Terms of Service.
1.2 Eligibility. You must be at least 18 years old and have legal authority to act on behalf of the HOA you are registering. You represent and warrant that all information you provide is accurate and complete.
1.3 Platform Role. Direct Directories LLC is a Pennsylvania Limited Liability Company providing software tools for HOA management. We are a software-as-a-service (SaaS) provider. We are NOT a property management company, legal advisor, financial institution, or payment processor.
1.4 Acceptable Use. You agree not to: (a) use the platform for unlawful purposes; (b) attempt to gain unauthorized access to other tenants' data; (c) upload malicious code; (d) violate any applicable laws or regulations.
1.5 Termination. We reserve the right to suspend or terminate any account that violates these terms, fails to pay subscription fees, or poses a security risk, with or without prior notice.
1.6 Governing Law. These Terms are governed by the laws of the Commonwealth of Pennsylvania and applicable federal laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Pennsylvania. By using this platform, you consent to personal jurisdiction in Pennsylvania.
1.7 National Availability. This platform is available to HOA communities throughout the United States. Customers are responsible for ensuring their use of the platform complies with their own state and local laws.
2.1 Data We Collect. We collect information you provide directly (name, email, HOA name, address) and usage data (login times, feature activity) to operate the platform.
2.2 How We Use Your Data. Your data is used exclusively to: (a) provide and improve platform services; (b) send service-related communications; (c) comply with legal obligations; (d) provide customer support.
2.3 Tenant Isolation. All HOA data is strictly isolated by a unique tenant_id. HOA Admins cannot access data belonging to other HOAs. Platform staff may access your HOA data only for support, security, and compliance purposes.
2.4 Resident Data. As an HOA Admin, you are responsible for obtaining appropriate consent from your residents before entering their personal information (names, emails, addresses) into the platform. You act as a "data controller" for your residents' data. We act as a "data processor" on your behalf.
2.5 Data Retention. Deleted data is retained for 30 days before permanent removal, in accordance with Base44 platform policy. You may request a data export at any time from Settings.
2.6 Third-Party Services. We use Base44 as our infrastructure provider. Their privacy policy applies to platform-level data storage. See base44.com/privacy-policy.
2.7 GDPR & CCPA. If you are in the EU or California, you have the right to request, correct, or delete your personal data. Contact us at privacy@directdirectories.com.
3.1 Platform Subscription. Access to Direct Directories LLC beyond the free trial period requires a paid subscription. Pricing is displayed at checkout. All prices are in USD.
3.2 Payment Processor. Platform subscription payments are processed by Stripe, Inc. We do not store your credit card information. By subscribing, you also agree to Stripe's Terms of Service.
3.3 Billing Cycle. Subscriptions renew automatically on the agreed billing cycle (monthly or annually) until cancelled. You are responsible for cancelling before your renewal date if you do not wish to be charged.
3.4 Refunds. Platform subscription fees are non-refundable except where required by law. If you believe you were charged in error, contact us within 14 days of the charge.
3.5 Trial Period. Free trial access is provided as-is, with no guarantees. We reserve the right to modify or end the trial program at any time.
4.1 HOA as Merchant of Record. If your HOA connects its own Stripe account to collect dues from homeowners, your HOA is the merchant of record for those transactions. Direct Directories LLC acts solely as a software conduit.
4.2 Platform Liability Limitation. Direct Directories LLC is NOT liable for: (a) failed or disputed homeowner payments; (b) Stripe fees or chargebacks; (c) errors in dues amounts entered by HOA staff; (d) any financial disputes between the HOA and its residents.
4.3 HOA Responsibility. As an HOA Admin enabling online payments, you agree to: (a) comply with Stripe's terms of service; (b) maintain accurate financial records; (c) ensure dues amounts are lawfully authorized by your HOA's governing documents; (d) handle all homeowner disputes directly.
4.4 Stripe Security. Your HOA Stripe secret key is encrypted at rest using AES-GCM encryption and is never exposed to the frontend or to other tenants. Only backend processes with explicit authorization can decrypt it.
5.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIRECT DIRECTORIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR BUSINESS INTERRUPTION.
5.2 Platform Availability. We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance, security updates, or force majeure events may cause downtime. We are not liable for losses arising from platform unavailability.
5.3 Data Accuracy. You are solely responsible for the accuracy of data entered into the platform (financial records, resident information, property details). We are not liable for decisions made based on inaccurate data you entered.
5.4 Indemnification. You agree to indemnify, defend, and hold harmless Direct Directories LLC and its operators from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) any data you enter about your residents or HOA finances; (d) disputes between your HOA and its homeowners.
5.5 Updates to Terms. We may update these Terms at any time. Continued use of the platform after notice of updates constitutes acceptance. We will notify you via the platform interface when material changes occur.
